Terms

These terms apply to the use of Midflat on midflat.com and in the apps. The contract partner is [RECHTSTRÄGER], [RECHTSFORM], [STRASSE UND HAUSNUMMER], [PLZ] [ORT], [REGION], [LAND]. Midflat is a service of [RECHTSTRÄGER]. Represented by [VERTRETUNGSBERECHTIGTE PERSON].

The partner subscription is only for entrepreneurs within the meaning of section 14 of the German Civil Code, meaning commercial landlords. By subscribing you confirm that you act in that capacity and not as a consumer. Tenants use Midflat free of charge. Where a tenant is a consumer, mandatory consumer-protection rules remain in force.

Landlord terms that differ from these terms do not apply, even if we do not object to them.

Midflat is a technical platform for furnished stays of about one to six months. We show listings, provide search and, after unlock, a chat between tenant and landlord.

Midflat is not a party to the rental contract. We do not collect rent, do not take a deposit and do not charge a commission on a lease. Users decide whether a contract is formed. We do not owe a successful match or a particular occupancy.

We do not connect external calendars. The landlord maintains availability in the Midflat calendar.

You do not need an account to view listings. An account is required to send a request or to list a home. One account can be used for renting and for hosting.

Account details must be accurate. Keep sign-in credentials secret. In the app you sign in with an email code, with Apple or with Google. On the web, with a sign-in link, with Apple or with Google.

You can invite people to a landlord team. They act for the partner account. The owner remains responsible.

Only people and companies that offer housing commercially and are entitled to do so may publish listings. Occasional private letting is not the offer the partner subscription is concluded for.

You confirm that you own the home or are instructed by the person entitled to dispose of it, that you may offer the home, and that you comply with the rules that apply where the home is, including registration, permission and tax duties. Midflat does not check this case by case.

Publishing is free of charge. A listing must match the home: title, description, amenities, images, price, minimum stay and the confirmed building address. The exact building position is shown. Unit and access details stay internal.

You grant us the right to store, display and technically prepare the listing content in order to run the platform. You confirm that you hold the rights to the texts, photos and videos.

The minimum stay sits in a range of about one to six months and is shown and enforced as you set it. Utilities are shown as included or not included. Midflat does not display estimated utility amounts.

Use by tenants is free of charge. Search, the map, listing details and a local favorites list work without an account. A request needs an account.

You give accurate dates and party size. Midflat is not your landlord and is not your contract partner for the rent.

A reservation sends dates and an optional message. The dates are held for two hours so you can settle the details in chat. No payment is taken at that point. Midflat does not confirm the stay.

After two hours the hold ends. The chat and the request remain until they are deleted. Any further block is entered by the landlord as an unavailable period.

Without an unlocked partner subscription the landlord only sees that a request exists, not the name, contact details or messages.

Contact with tenants for the whole portfolio requires an annual subscription. There is no monthly plan and no pausing. A status reported as paused does not unlock contact. Publishing stays possible without a subscription.

The tier follows the number of listings published at the same time. The annual price shown at checkout is decisive. As of these terms the catalog is:

Single, 1 listing, 49 € per year. Small, up to 5 listings, 99 € per year. Growth, up to 20 listings, 249 € per year. Portfolio, up to 100 listings, 599 € per year.

Above that there is no self-serve tier. A separate offer is required.

If the active tier no longer covers the number of published listings, contact stays locked until the tier fits or listings are unpublished.

A landlord who takes the current saver offer keeps that price for as long as the subscription continues without a break. That also applies when moving to a larger catalog tier, at the saver price of that tier. A pause or an expiry ends this price guarantee. It does not return.

On the web the landlord pays through Paddle. Paddle is the merchant of record and issues the receipts. In the apps the purchase is an in-app purchase through Apple or Google. RevenueCat reports the status to us.

The annual amount is due in advance. Tax on the subscription is handled by the payment service where it is the merchant of record or the store. Midflat does not charge tenants a booking fee.

Deleting an account does not end a running subscription. Cancel it at Paddle, Apple or Google, wherever you subscribed.

The partner subscription is a contract with an entrepreneur. There is no statutory right of withdrawal for that contract. By subscribing you ask us to start the unlock immediately.

Where a consumer nevertheless concludes a contract with us, statutory rights remain in force. A clause that cuts off a mandatory right of withdrawal does not apply in that case. Free use by tenants does not create a paid contract with Midflat.

In particular, the following are not allowed: false listings, homes you are not entitled to offer, content that violates criminal law or the protection of minors, including sexual content involving minors, discrimination that violates applicable law, threats, harassment, malware, and publishing contact details of other people without a legal basis.

It is also not allowed to bypass the unlock, to contact tenants outside Midflat while contact is locked, or to request payments that pretend to be rent or a subscription that Midflat does not process.

Midflat does not process rent. Agreements about rent remain between tenant and landlord.

Signed-in users can report a listing or a public landlord profile. We review reports. Automatic content detection is not built in.

We may remove content, limit features, revoke invitations and close accounts where there is, or there is reason to expect, a breach of these terms, a breach of law or a risk to other users. There is no right to a particular form of review. Legal duties to remove illegal content remain in force.

Users can block profiles.

We are liable without limit for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act and for a guarantee we have given.

For ordinary negligence we are liable only for a breach of an essential contractual duty. That is a duty which must be met for the contract to be performed at all and on which you may regularly rely. Liability is then limited to the foreseeable damage typical for this kind of contract.

For free use, statutory rules in favor of consumers apply where they cannot be waived.

We are not liable for user content, for the rental contract or for payments between tenant and landlord, except to the extent of our own fault. The platform can be interrupted, for example for maintenance or because a named provider fails. There is no right to uninterrupted availability.

These rules also apply to legal representatives and to persons we use to perform the contract.

The partner subscription runs for one year and renews until you cancel it in the channel where you subscribed. Cancellation takes effect at the end of the paid period, unless the store or Paddle provides otherwise. Pausing is not available.

You can delete the free account in the app. You can also ask for deletion at info@midflat.com. What deletion removes, and that it does not cancel the subscription, is described in the privacy policy.

Statutory rights to end the contract for cause remain in force. A serious breach of these terms is such a cause.

We may change these terms for the future if the platform, the law or our providers change. For a running subscription, changed terms apply from the next renewal if we email you about the change beforehand. Mandatory law remains in force.

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer-protection rules in the country where a tenant habitually lives remain in force.

For disputes with entrepreneurs, the venue is [GERICHTSSTAND], where the law allows it. Mandatory venues, in particular for consumers, remain in place.

If a clause is invalid, the rest stays in effect.
